Music API Terms

These Music API Terms (the “API Terms”) govern your use of the ElevenLabs’ Music Service via our Application Programming Interfaces (“APIs”). The API Terms supplement the Music Terms and your existing agreement with ElevenLabs or, if no separate agreement exists, the ElevenLabs Terms of Service (either, the “Underlying ElevenLabs Agreement”). Your use of the APIs is also subject to our Prohibited Use Policy and Privacy Policy. Capitalized terms used but not defined here have the meanings ascribed to them in the Music Terms or your Underlying ElevenLabs Agreement.
In the event of any conflict among the following documents, the order of precedence shall be: (A) the API Terms, (B) the Music Terms, and (C) the Underlying ElevenLabs Agreement. The API Terms below, any additional terms applicable to your use of the APIs, are referred to collectively as the “Terms.”
THESE API TERMS CONTAIN VARIOUS LIMITATIONS AND EXCLUSIONS OF LIABILITY IN SECTION 6.
1. USING OUR APIS.
A. Documentation. You will, and will ensure that your end users, only use each API in accordance with the documentation for the particular API at https://elevenlabs.io/docs/ (or any successor URL provided by ElevenLabs).
B. Potential Staggered Access. ElevenLabs may deploy access to our APIs, additional features or functionality on a phased basis at our sole discretion. Access may be prioritized based on various factors including, the sector you operate in (in the event you are accessing the APIs on behalf of an entity), system capacity, and other operational considerations. ElevenLabs will use commercially reasonable efforts to provide access to all eligible customers over time, but makes no guarantee as to timing or sequence of deployment. Staggered deployment will not constitute a breach of the Terms.
C. API Credentials. If ElevenLabs assigns you developer credentials (“API Credentials”), you must use them with the applicable APIs. API Credentials (such as passwords, keys, and client IDs) are intended to be used only by you, and you will keep your API Credentials confidential.
2. YOUR API CLIENTS.
A. API Clients. The APIs are designed to help you enhance your websites and applications (“API Clients”). You agree that Elevenlabs may monitor your use of the APIs for quality assurance, compliance verification, security, and product improvement purposes. ElevenLabs may suspend or terminate your access to the APIs if ElevenLabs reasonably believes that you are in violation of the Terms.
B. Security. You will protect user information collected by your API Client, including personal data, from unauthorized access, implement appropriate safeguards consistent with industry standards, and promptly notify ElevenLabs and affected users of any unauthorized access or use to the extent required by applicable law.
C. Ownership. ElevenLabs does not acquire ownership in your API Clients, and by using our APIs, you do not acquire ownership of any rights in our APIs.
D. User privacy. You must provide, and at all times comply with, a privacy policy for your API Client that clearly and accurately describes to users the types of information you collect, how such information is used and shared (including with ElevenLabs and third parties), and all other disclosures required under applicable law. You are solely responsible for ensuring that your API Client’s collection, use, storage, and disclosure of user information complies with all applicable laws, rules, and regulations (including data protection and privacy laws). ElevenLabs will have no liability for, and you will indemnify and hold ElevenLabs harmless from and against, any claims, losses, or liabilities arising out of or relating to your API Client’s failure to comply with this Section.
3. USE RESTRICTIONS. When using the APIs, and without limiting with the Prohibited Use Policy, you may not (and will not permit any third party to):
A. API Clients. The APIs are designed to help you enhance your websites and applications (“API Clients”). You agree that ElevenLabs may monitor your use of the APIs for quality assurance, compliance verification, security, and product improvement purposes. ElevenLabs may suspend or terminate your access to the APIs if ElevenLabs reasonably believes that you are in violation of the Terms.
B. Security. You are solely responsible for ensuring that your API Client’s collection, use, storage, and disclosure of user information complies with all applicable laws, rules, and regulations (including data protection and privacy laws). ElevenLabs will have no liability for, and you will indemnify and hold ElevenLabs harmless from and against, any claims, losses, or liabilities arising out of or relating to your API Client’s failure to comply with this Section.
3. USE RESTRICTIONS. When using the APIs, and without limiting with the Prohibited Use Policy, you may not (and will not permit any third party to):
A. Resale. Resell, repackage, redistribute, sublicense, or otherwise make API access available to any third party unless you are an Authorized Reseller (as defined below).
B. Quota Circumvention. Aggregate, pool, or otherwise combine API quotas with other customers, or create shared access arrangements, whether by technical or contractual means.
C. Usage Limits. Exceed usage limitations (e.g., limits on the number of API requests within a given period) by creating multiple accounts, using technical workarounds, or engaging in any other form of circumvention.
D. Malicious Code. Introduce, attempt to introduce, or facilitate the introduction of any viruses, worms, defects, Trojan horses, malware, or any other harmful or destructive items into ElevenLabs’ products, services, or systems.
E. Interference. Interfere with, disrupt, or otherwise compromise the integrity or performance of the APIs, or the servers, systems, or networks that provide the APIs.
F. Reverse Engineering. Reverse assemble, decompile, disassemble, reverse engineer, translate, or otherwise attempt to derive, reconstruct, or obtain the source code, underlying ideas, algorithms, structure, or organization of any Model or related technology.
G. Notices. Remove, obscure, or alter any terms, conditions, notices, or links provided or displayed by ElevenLabs in connection with the APIs.
4. ADDITIONAL REQUIREMENTS FOR CERTAIN CATEGORIES OF CUSTOMERS.
A. Co-Branding. If you are accessing our APIs on behalf of an entity, and such entity is either an “Authorized Reseller” or “Pure-play Music AI Creation Company” (each as defined below), you shall prominently co-brand the Bundled Services (as such term is defined in the OEM Terms or the equivalent terms set forth in your Underlying ElevenLabs Agreement) that utilize our APIs, including all advertisements and promotional content presented to your end users related thereto, by displaying ElevenLabs’ name, trademarks and logos alongside its own, which may be in the format of “powered by ElevenLabs” or “ElevenLabs Music”, in each case in accordance with Section 4.B below.
B. Attribution and Trademark Use. You must display any attribution(s) required by ElevenLabs in the Terms and applicable documentation for the API. Where co-branding is required under Section 4.A, ElevenLabs hereby grants to you a nontransferable, nonsublicensable, nonexclusive license, during the term of these Terms, to display ElevenLabs’ Trademarks for the sole purpose of promoting or advertising that you use the APIs. Except as expressly stated, nothing in these Terms grants either party any right, title, or interest in or to the other party’s Trademarks. All goodwill arising from your use of ElevenLabs’ Trademarks will inure exclusively to ElevenLabs. You must use ElevenLabs' Trademarks in accordance with ElevenLabs' brand guidelines (available at: https://elevenlabs.io/brand) and any other guidelines or assets provided by ElevenLabs from time to time.
C. Notices.
i. “Authorized Reseller” means a Reseller that has received ElevenLabs’ prior express written authorization to engage in such reselling activities.
ii. “Pure-play Music AI Creation Company” means an entity that develops, operates, and provides access to any software application, whether via a web, mobile, or other digital interface, that utilizes AI or other algorithmic processes to generate output in the form of sound recordings and embodied musical compositions as its primary commercial product or service.
iii. “Reseller” means an entity that (a) resells, repackages, redistributes, or otherwise makes available ElevenLabs’ Music Models through its own platform or application without adding substantial functionality beyond basic user interface changes; or (b) acts as a model aggregator by offering ElevenLabs’ Models alongside third-party models with minimal or no modification, enhancement, or integration, essentially providing a marketplace or directory of AI models.
iv. “Trademarks” means a party’s trade names, trademarks, service marks, logos, and domain names.
5. ADVERTISING RESTRICTIONS.
A. You may not (and may not authorize or allow any third party to):
i. bid on, purchase, or otherwise use any ElevenLabs’ Trademarks as keywords in any search engine advertising platform (including Google Ads, Bing Ads, or other similar services), whether on exact match, phrase match, or broad match basis;
ii. directly or indirectly, perform any search engine optimization (SEO) or related activities designed to cause your websites, applications, or other properties to appear in search engine results for queries that include any ElevenLabs Trademarks; or
iii. engage in any other activity that could dilute, tarnish or impair the distinctiveness of the ElevenLabs brand, create customer confusion, or divert web traffic from ElevenLabs’ own websites, APIs, or marketing channels.
B. ElevenLabs reserves the right to terminate your API access for breach of this Section 5.
6. LIABILITY. To the fullest extent permitted by applicable law, you will indemnify, defend (at ElevenLabs' option), and hold harmless ElevenLabs and its officers, directors, partners, licensors, employees and agents from and against any and all Claims arising out of or relating to:
A. your misuse of the APIs, or any misuse of the APIs by your end users;
B. your violation of these Terms, or any violation by your end users; or
C. any content or data provided, routed into, or used with the APIs by you, those acting on your behalf, or your end users.
