Eleven Music Model-Specific Terms

PLEASE READ THESE MODEL-SPECIFIC TERMS CAREFULLY.
The following Music Model-Specific Terms (“Model-Specific Terms”) supplement the Music Service Terms (the “Service Terms”) and apply specifically to Customer’s use of the designated Version of an ElevenLabs foundational or other artificial intelligence music models (each, a “Music Model”). For the purposes of these Model-Specific Terms, “Version” means a defined release of a Music Model identified by a primary version number or identifier (e.g., “v1”), and includes all related updates, modifications, patches, and subversions within that version family (e.g., v1.1, v1.5, and any other v1.x iterations). These Model-Specific Terms apply to the following Music Models and all related Versions: v1, v2.
Unless expressly stated otherwise by ElevenLabs, all iterations within a given Version family shall be governed by the same Model-Specific Terms. ElevenLabs reserves the right to designate any subversion or update as a new Version that is subject to separate Model-Specific Terms.
Defined terms used but not defined in these Model-Specific Terms have the meaning set forth in the Service Terms and/or the Underlying ElevenLabs Agreement.
1. PRODUCT PLANS.
(a) Information about commercial rights and limitations associated with each Music plan can be found on the Music Commercial Rights table set out below. Certain terms in the Music Commercial Rights table are defined in Section 5.
(b) The terms and limitations set forth in the Music Commercial Rights table are incorporated into these Model-Specific Terms and form an integral part of these Model-Specific Terms. Material failure to adhere to the terms and limitations as specified in the Music Commercial Rights table for your particular plan will be deemed a breach of your agreement with ElevenLabs.
(c) All prices include VAT or other sales tax where applicable.
2. PLAN CHANGES OR TERMINATION.
(a) You can subscribe to or change a Music plan by visiting the ElevenLabs Pricing page and selecting “Music” or by contacting us.
(b) If you upgrade to a higher-priced plan, all future use of the Service will be charged at the then-current price associated with that plan and all Output in your account at the time of upgrade will be subject to the upgraded plan. For example, if you upgrade from Scale to Business, all Output created under the Scale plan will subsequently be treated as if it were created under a Business plan.
(c) If you terminate your Music account or downgrade to a lower-price plan, Output will remain available in your account subject to the plan in effect when the Output was created. For example, if you terminate your Business plan account, you will continue to have access to and the right to use Output you created while a Business plan subscriber, but you will not be able to create new Output or modify existing Output using the Services. If you downgrade from the Business plan to the Free plan, you will continue to have access to and the right to use Output you created while a Business plan subscriber, but any new Output you create will be subject to the restrictions and limitations of the Free plan.
3. PLAN ELIGIBILITY RESTRICTIONS. Music plan enrollment is restricted to eligible users only, as specified in the Music Commercial Rights table. Enrollment in a plan for which you are not eligible may result in suspension or termination of your account and/or loss or forfeiture of Outputs, fees, and/or credits.
4. TRADEMARK USE. Where co-branding or Attribution is required, ElevenLabs hereby grants to you a nontransferable, nonsublicensable, nonexclusive license, during the term of your agreement with ElevenLabs, to display ElevenLabs’ trademarks for the sole purpose of promoting or advertising your use of the Services. Except as expressly stated, nothing in these Model-Specific Terms grants either party any right, title, or interest in or to the other party’s trademarks. All goodwill arising from your use of ElevenLabs’ trademarks will inure exclusively to ElevenLabs. You must use ElevenLabs' trademarks in accordance with ElevenLabs' brand guidelines (available at: https://elevenlabs.io/brand) and any other guidelines or assets provided by ElevenLabs from time to time.
5. DEFINITIONS.
(a) Attribution means Customer is required to provide appropriate credit to ElevenLabs when accessing a Music Model free of charge wherever the Output or any derivative version is displayed, distributed, or published on any platform. The credit shall appear in a form substantially similar to: “Created in collaboration with ElevenLabs” or as otherwise approved in writing by ElevenLabs. In all such uses, Customer shall ensure ElevenLabs’ credit appears no less prominently than immediately surrounding text.
(b) Bundled Service means the combined offering of the Services and the Customer Solution. Services cannot be used independent of the Customer Solution.
(c) Co-Branding means displaying the ElevenLabs trademarks and logos alongside Customer’s own trademarks and logos in all advertisements and promotional content presented to your end users related to any Bundled Service, which may be in the format of “powered by ElevenLabs” or “ElevenLabs Music.”
(d) Customer Solution means Customer’s subscription-based, hosted, supported, on-demand services that Customer provides to end users.
(e) Music Libraries & Repositories means any arrangement in which Customer creates or permits others to create a library, catalogue, database, or other repository of Output with the intent of licensing it or otherwise making it available to third parties.
(f) Reseller means an entity that: (i) resells, repackages, redistributes, or otherwise makes available ElevenLabs’ Music Models through its own platform or application without adding substantial functionality beyond basic user interface changes; or (ii) acts as a model aggregator by offering ElevenLabs’ Models alongside third-party models with minimal or no modification, enhancement, or integration, essentially providing a marketplace or directory of AI models.
(g) Studio Games means video games which are commercialised (either by sale, advertising or any other forms of monetisation) and made available for download or use through more than one platform.
(h) Streaming means making Output(s) available on third party music streaming platforms.
