ElevenLabs Music Marketplace Addendum
This Music Marketplace Addendum (“MMA”) supplements your (“you” or “your”) existing agreement with ElevenLabs or, if no separate agreement exists, the ElevenLabs Terms of Service (either, the “Underlying ElevenLabs Agreement”) and together with the Underlying ElevenLabs Agreement, applies to your access and use of the marketplace that allows you to buy and sell music created using the Services (“Music Marketplace”).
Your use of the Music Marketplace is also subject to our general Prohibited Use Policy and our Privacy Policy. Defined terms used in this MMA have the meanings set forth in the Underlying ElevenLabs Agreement.
Please read this MMA carefully. By accessing or using the Music Marketplace, you agree to this MMA. If you do not agree with or accept this MMA, you may not use the Music Marketplace.
1. Content in the Music Marketplace
The Music Marketplace makes available music created by ElevenLabs users, including you, using our Music service (“Music”). For purposes of this MMA, “Buyer” means any ElevenLabs user who acquires Music through the Music Marketplace and “Seller” means any ElevenLabs user who makes their Music available for sale through the Music Marketplace. A user may act as both a Buyer and a Seller, and the applicable terms in this MMA apply based on the capacity in which you are acting.
2. Seller Terms. The following terms apply to Sellers:
a. Sharing Music in the Marketplace. By sharing your Music on the Music Marketplace, you authorize us to make available the Music for others to access and use through the Music Marketplace in accordance with the Underlying ElevenLabs Agreement and this MMA. This means that we may host, market, sell, distribute, sublicense, set usage terms for and process payments for your Music as described in this MMA.
b. Licenses. The license granted under Section 4(d) of the Underlying ElevenLabs Agreement applies to Music and permits ElevenLabs to host, reproduce, distribute, publicly perform, display, and sublicense such Music in connection with operating and promoting the Music Marketplace.Monetization of such Music, if any, will be governed by Section 2(d) of this MMA. When a Buyer acquires your Music from the Music Marketplace, we grant to the Buyer a license to access and use the Music as described in Section 3 of this MMA.
c. Outputs. Music is the Seller’s Output as defined in Section 4(a) of the Underlying ElevenLabs Agreement. Except as expressly set forth in this MMA, as between you and ElevenLabs, you retain all rights in and to your Output.
d. Pricing; Financial Rewards. You authorize us to set a listing price at our discretion. You may be eligible to receive revenue from the sale of Music (“Financial Reward”). The Financial Reward will be calculated based on factors that we determine, such as the pricing tier of users that purchase your Music and the number of credits required to purchase your Music. ElevenLabs reserves the right to adjust these factors in its sole discretion.
e. Payment Terms. To be able to receive a Financial Reward, you will need to create a Stripe Connect account. By creating a Stripe Connect account, you acknowledge and understand that you are bound by the terms associated with such account provided by Stripe. We may impose additional terms associated with Financial Rewards or request additional information from you to participate in Financial Rewards, and you acknowledge and understand that you must comply with any additional terms or requests for information to continue your participation in or be able to receive Financial Rewards. Your Financial Rewards are calculated based on factors that we determine, such as the pricing tier of users that use your Music.
f. Taxes. You are responsible for reporting and paying any applicable taxes in relation to revenues generated on the Music Marketplace. We may withhold fees from your earnings for tax purposes, where required to do so by law. You agree to collaborate with us to provide any additional information to receive payments or comply with applicable laws.
g. Waiver of Royalties. You agree that ElevenLabs and all Buyers who acquire your Music have discharged any obligations, present or future, to pay royalties, equitable remuneration, or equivalent amounts for the use of the Music you have shared. Notwithstanding anything to the contrary, our sole obligation and liability for any use of your Music permitted under this MMA is to pay you any Financial Rewards earned by you based on use of your Music and in accordance with this MMA.
h. Termination. You can terminate your participation in the Music Marketplace at any time by removingdeleting the Music you have shared from your account or deleting your account entirely. In the event you delete any Music you have shared from your account, we will stop offering the deleted Music for sale in the Music Marketplace but, for clarity, any licenses granted to Buyers prior to termination, will be unaffected by your Music being deleted. This means, for example, that Buyers who purchased your Music before termination will have no obligation to delete such Music and may continue to freely use such Music after it is no longer offered for sale in the Music Marketplace.
3. Buyer Terms. The following terms apply to Buyers:
a. Music License. Music is licensed, and not sold, to Buyersyou. References in this MMAherein to “sale” or “purchase” relate solely to acquiring a license to access and use Music. By purchasing a license to Music, you receive from Seller and ElevenLabs grants to you a limited, non-exclusive, non-sublicensable (unless expressly permitted by us) right to access and use the Music (a) subject to the terms of the Underlying ElevenLabs Agreement, this MMA and any terms and use limitations described on the Music Marketplace and our website, and (b) for as long as you are permitted to use the Music Marketplace.
b. No Refunds. Except as required by applicable law, all purchases of Music are final and non-refundable. Additionally, any content accessed or interacted with by you in connection with the Music Marketplace is neither redeemable nor subject to refund by ElevenLabs.
c. Compliance. Your use of acquired Music must comply with all applicable laws and regulations, applicable terms described in this MMA, including the Prohibited Use Policy. You may not use the Music in any of the Prohibited Industries described in the Music Terms.
4. Disclaimers
In addition to any and all disclaimers in the Underlying ElevenLabs Agreement, and to the maximum extent permitted by applicable law, the Music Marketplace is provided on an “as is” and “as available” basis. ElevenLabs does not make any specific commitments, representations or warranties about the Music Marketplace. For example, ElevenLabs does not make any representations or warranties that (a) your Music will be acquired by any Buyer; (b) the Music Marketplace, or any Music, content or materials provided in connection with it, will be accurate, complete, reliable, current, secure, or error-free; (c) access to the Music Marketplace will be uninterrupted or free of harmful components (including viruses or malicious code); or (d) you will achieve any particular level of engagement, use or success in connection with any economic or other benefit that might be generated as a result of the transactions contemplated in this MMA. Past performance does not guarantee future results. Any forecast or description of potential characters or earnings generated through the Music Marketplace is for illustration purposes only, is not a contractually binding promise, and should not be relied upon by you in determining whether to make any Music available in the Music Marketplace. Your use of the Music Marketplace is at your sole risk. You acknowledge that, due to the nature of machine learning, the Music Marketplace may contain content that is not unique and may be similar or identical to content generated by other users. All disclaimers in this section extend to and benefit ElevenLabs, its affiliates, licensors, suppliers, service providers, and each of their respective officers, directors, employees, agents, successors, and assigns.
5. Other terms
You agree to cooperate with us, act towards us, and exercise your rights in good faith. Except for the limited licenses granted to you under this MMA, ElevenLabs exclusively owns all rights in and to the Music Marketplace. To the fullest extent permitted by applicable law, we reserve the right to review and remove any Music made available in the Music Marketplace or your access and use of the Music Marketplace in our sole discretion, and at any point in time, with or without notice to you, including as indicated in the Underlying ElevenLabs Agreement. You are not an employee of ElevenLabs Inc. or any of its affiliates, and your participation in the Music Marketplace does not amount to a contract of employment, a partnership, or a contract of agency. We may make updates to this Music Addendum in the manner described in the Terms of Service.
